BEFORE ATTENDING AN I-DEP LEGAL EVENT, ALL PARTICIPANTS MUST READ AND AGREE TO THE FOLLOWING PARTICIPATION TERMS. PLEASE READ THESE TERMS CAREFULLY. IF YOU AGREE TO BE BOUND BY ALL OF THE TERMS, PLEASE CLICK THE "I ACCEPT" BUTTON AT THE END OF THE TERMS.

Alternative Attendance: Each I-DEP event participant should be prepared to attend the legal event via telephone in the event of Internet connection unreliability or other technical difficulties. You hereby agree that attendance at an I-DEP deposition via telephone will be sufficient and acceptable means of attendance and that your event site has the means by which to allow your participation by telephone.

Waiver of Liability: You agree that I-DEP shall not be liable for the content of  legal events or the actions of the participants, and you agree to indemnify I-DEP for any such content or actions attributable to you. In no event shall I-DEP be liable for missing, garbled or misdirected communications over the Internet or for downtime, system speed or slow down of any network or the Internet, or for the inability to access a legal event over the Internet.

IN NO EVENT SHALL I-DEP BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM OR CONNECTED WITH THIS AGREEMENT OR YOUR USE OR THE PERFORMANCE OF THE DEPOSITION SERVICES, REGARDLESS OF WHETHER I-DEP KNOWS OR HAS REASON TO KNOW OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT, INCLUDING IF YOU ARE LIMITED TO A TELEPHONE EVENT, WILL I-DEP'S LIABILITY FOR ANY CLAIM OF ANY KIND, WHETHER BASED IN CONTRACT, WARRANTY, TORT, STRICT LIABILITY OR OTHERWISE, FOR ANY LOSSES OR DAMAGES ARISING OUT OF, CONNECTED WITH, OR RESULTING FROM, THIS AGREEMENT OR THE PERFORMANCE OR BREACH THEREOF, OR THE EVENT SERVICES OR THE USE OR PERFORMANCE THEREOF, EXCEED THE AMOUNT PAID TO I-DEP FOR THE APPLICABLE EVENT SERVICES.

Password Distribution: The first participant who schedules a legal event through I-DEP (the "Lead Scheduler") receives a private password that allows access into a specific deposition and entry into a private chat room during that event. The Lead Scheduler is responsible for securely distributing this deposition password only to those authorized attendees who plan to participate in that chat room. That password should not be shared with anyone who is not authorized to attend the deposition, nor with anyone who is not authorized to enter into the same chat room as the Lead Scheduler. The Lead Scheduler will be notified by I-DEP of the identities of other individuals who request to attend the deposition and who are issued a separate password (i.e., opposing counsel, co-plaintiffs or co-defendants) ("Additional Schedulers"). To ensure event security, the Lead Scheduler should contact I-DEP within 24 hours of said notice, or at least 4 hours before the scheduled start of the deposition, if it appears that any of these Additional Schedulers are not authorized to attend the legal event. Additional Schedulers are responsible for securely distributing their password only to authorized attendees in their respective chat rooms. You agree not to disseminate passwords to unauthorized parties and not to facilitate attendance of third parties at a legal event other than as arranged through the I-DEP service. You agree that the I-DEP service is intended for your sole use, and you shall not commercially exploit the service or redistribute or retransmit the I-DEP service in any form to third parties outside your organization; provided the foregoing shall not limit a participant from redistributing any court reporter transcript of a legal event.

Billing: If you are a Lead or Additional Scheduler, you agree to pay all fees and rates charged for services used in accordance with applicable purchase orders and invoices, and will comply with all pricing terms set forth on the I-DEP website at www.i-dep.com and all pricing terms set forth in separate duly signed contracts with I-DEP, all of which terms are hereby incorporated herein. The lead attorney for every participant group receiving a transmission of the realtime transcript agrees to purchase a copy of the transcript from the court reporter. If not already purchased, each participant using or intending on using I-DEP's Depositions On Demand agrees to purchase a copy of the transcript from the court reporter, regardless of actual or remote attendance at the live legal event. If you are a Lead Scheduler, you may be charged a set-up fee or other charges if a legal event is cancelled or postponed less than 48 hours of its scheduled start time.

I-DEP Cancellation Policy: I-DEP Legal Eent Services cancelled within two (2) business days of when they are scheduled to occur are subject to a $200 cancellation fee; those cancelled within one (1) business day of when they are scheduled to occur are subject to a $300 cancellation fee. Some or all of this fee may be waived if shipping of I-DEP equipment or if site testing was not required.

Court Reporter Fees: All appearance and transcript fees are arranged directly with the court reporting firm and are the responsibility of the arranging participants. Court reporting fees and policies may vary considerably from firm to firm. I-DEP shall not be responsible for any appearance, court reporter or transcript fees. In those cases where a court reporting firm charges I-DEP for their deposition related costs for travel, accommodations, testing time, etc., I-DEP will pass those costs on to the arranging participants as additional costs on the I-DEP Invoice.

Terms and Conditions of Use: You agree to comply with all terms and conditions of use set forth on I-DEP's website at www.i-dep.com which terms are hereby incorporated herein. All rights not expressly granted herein are reserved. These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without giving effect to any principles of conflicts of law. You and I-DEP irrevocably consent to the exclusive jurisdiction of the courts located in Illinois in connection with any action arising out of or related to these terms of use or their subject matter. You and I-DEP waive any objection based on lack of personal jurisdiction, place of residence, improper venue or forum non conveniens in any such action. If any provision of these Terms shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the remaining terms and shall not affect the validity and enforceability of any remaining provisions.
